7339 sayılı Kanun’un Kooperatifler Kanunu ve Diğer Kanunlarda Yaptığı Değişiklikler Üzerine Düşünceler

Özet

6102 sayılı Türk Ticaret Kanunu (TTK) m. 124/1’de ticaret şirketleri arasında sayılan kooperatiflere ilişkin esas düzenlemeler, diğer ticaret şirketlerinin aksine TTK’de değil, özü itibariyle 1163 sayılı ve 1969 tarihli Kooperatifler Kanunu’nda (KoopK) yer almaktadır. Yürürlüğe girdiği andan günümüze değin, KoopK’de zaman zaman bir kısmı esasa ilişkin olmak üzere bazı değişiklikler yapılmıştır. Bununla birlikte kamuoyunda zamanla oluşan KoopK’nin yürürlükten tamamen kaldırılıp, kooperatiflerin yeni bir kanunla düzenlenmesi beklentisinin aksine, kanun koyucu bu yola başvurmamış; mevcut Kanun’da kooperatifler hukukunun güncel sorunlarına çözüm için yapılması gereken değişiklikleri gerçekleştirme yöntemini tercih etmiştir. KoopK’de yapılan en güncel değişiklik, 26 Ekim 2021 tarihinde yürürlüğe giren 7339 sayılı Kanun’la gerçekleştirilmiştir. Çalışmamızın amacı, 7339 sayılı Kanun’un Kooperatifler Kanunu ve diğer bazı Kanunlarda yapmış olduğu değişikliklerin tespit edilmesi, bu düzenlemelerin yerindeliğinin değerlendirilmesi ve karşılaşılabilecek olası sorunlara ilişkin bazı çözüm önerileri sunulmasıdır.

Unlike other commercial companies, the main regulations regarding cooperatives, which are accepted as one of the commercial companies in Article 124/1 of the Turkish Commercial Code numbered 6102 (TCC), are not regulated in the TCC, but are inherently regulated in the Cooperatives Law numbered 1163 and dated 1969 (CL). It can be seen that since the moment it came into force, some changes that are primarily substantive, has been made so far in the CL. However, contrary to the expectation of the public on the CL, which based on the idea of regulating cooperatives under a new law by abolishing the existing CL, policymakers preferred to make the necessary changes in the CL in order to solve the current problems of cooperatives instead of making a fresh Cooperatives Law. The most recent amendment in the CL has been made with the Law numbered 7339, which entered in force on 26th of October 2021. In this respect, the leading aims of this study are to determine the amendments made by the Law numbered 7339 on the CL and some other Laws, to evaluate the appropriateness of these new regulations and to offer some solutions for the potential problems.
